Kiddobee SAS — Applicable to all engagements from 1 June 2026

PRESTATAIRE MODE

In the context of a worker secondment agreement (contrat de mise à disposition de travailleurs), Kiddobee remains the employer of the childcare provider at all times. The client family exercises day-to-day direction of the provider's work by delegation only. Disciplinary powers remain exclusively with Kiddobee.

MANDATAIRE MODE

In the context of a worker placement contract (contrat de placement de travailleurs), the client is the employer of the person carrying out the service at their home. In this capacity as employer, the client is subject to various obligations arising in particular from the Labour Code, the Social Security Code, and the Convention collective nationale des particuliers employeurs et de l'emploi à domicile of 15 March 2021 (IDCC 3239).

These General Terms and Conditions of Service ("Terms") govern the relationship between Kiddobee and its clients. Kiddobee, SAS with a share capital of €1,000, SIRET 930 459 235 00014, registered office: 77 Rue Martre, 92110 CLICHY, France. Declared organisme de services à la personne under Article L.7232-1-1 of the Labour Code, SAP declaration number 930 459 235.

Acceptance of these Terms is required before any service begins, whether by electronic or handwritten signature. A free personalised quote is provided for any service totalling €100 TTC or more per month, or upon request (arrêté of 17 March 2015).

1. Scope and Nature of Services

Kiddobee is an organisme de services à la personne operating in two modes depending on the contract:

  • Prestataire mode: Kiddobee is the employer of the childcare provider and is responsible for employment contracts, salary payments, social contributions and paid leave. The provider is seconded to the client family under a mise à disposition agreement.
  • Mandataire mode: the client family is the employer of the provider. Kiddobee acts solely as administrative agent, assisting with formalities (employment contract, URSSAF/Pajemploi declarations, payslips). The client assumes all employer obligations under the Labour Code and CCN IDCC 3239.

Under prestataire mode, while Kiddobee retains full employer responsibility, the client family exercises by delegation certain day-to-day working condition responsibilities — specifically task instructions and schedule management. Disciplinary power remains exclusively with Kiddobee.

Provider selection is carried out by a named Kiddobee advisor (référent) using a proprietary matching process based on compatibility criteria including personality fit, communication style and childcare approach. The algorithm ranks profiles to assist the advisor's review; the final selection is always made by the advisor. Kiddobee will communicate the name and contact details of the assigned référent to each client.

Current activities: Kiddobee is declared for childcare of children aged 3 and over (prestataire and mandataire modes). Agrément for children under 3 and children with disabilities is pending; these activities will only be offered once the agrément has been obtained.

2. The Contract

2.1 Contract documents

The contract consists of (in order of precedence):

  • These General Terms and Conditions of Service
  • The personalised quote (devis nominatif)
  • The service assignment agreement (convention de mise à disposition) or mandate agreement (contrat de mandat)

A welcome pack (livret d'accueil) is provided before signature, containing Kiddobee's SAP declaration number, list of services, mode of intervention, replacement conditions, and mediator contact details. No service may begin before both parties have signed the relevant contract.

2.2 Annual service subscription

An annual subscription fee of €149 is payable before the search for a provider begins. This fee is due every 12 months from the client's start date and is non-refundable. It covers:

  • Candidate sourcing and compatibility matching by a Kiddobee advisor
  • Video interviews conducted by a Kiddobee advisor for each candidate
  • Identity verification and document checks
  • Criminal record verification (B3 + signed declaration on honour) for all candidates
  • Qualification verification (for agrément activities: B2 + FIJAIS once agrément is obtained)
  • Assignment of a named référent for the duration of the year
  • Access to Kiddobee's replacement service throughout the year at no additional charge
  • Annual service review and quality survey

The subscription is due each year on the anniversary of the start date, regardless of whether the same provider continues or a replacement has been arranged. It reflects the cost of maintaining the regulated service infrastructure Kiddobee is required to provide.

2.3 Right of withdrawal

As all contracts are concluded at a distance (online), the client has 14 days from the date of signature to withdraw without providing reasons and without penalty (Article L.221-18 of the French Consumer Code). During this period, no service will be delivered and no payment will be collected beyond the €149 annual subscription, which is a pre-contractual fee for the search process already initiated.

By exception, if the client expressly requests in writing that services begin before the end of the withdrawal period, Kiddobee may begin performing. The client acknowledges that exercising the right of withdrawal after services have commenced will result in payment for hours actually delivered.

2.4 Trial period

A trial period of 15 calendar days applies from the date of the first actual session with the assigned provider (not from the date of contract signature). During this period, the client may terminate the contract without providing reasons. Hours actually worked during the trial are invoiced and must be paid. The €149 annual subscription is not refunded.

2.5 Termination after trial period

After the 15-day trial period, the client must give 14 days' written notice to terminate. If the client wishes to stop immediately, 14 days of contracted hours will be invoiced regardless of whether sessions are used. Kiddobee may also terminate with immediate effect in the event of material breach by the client.

3. Service Organisation

Working hours and days are set out in the service assignment agreement. Any lasting modification must be agreed in writing and formalised by an addendum (avenant).

  • Sessions cancelled by the client with less than 48 hours' notice will be invoiced in full
  • Exception: no charge if the cancellation is due to a medical emergency or illness of the child rendering the session unnecessary, provided Kiddobee is notified as soon as possible
  • Sessions cancelled by Kiddobee or the provider will not be invoiced
  • Sessions on public holidays and Sundays are invoiced at the applicable surcharge rate (see section 7)

4. Continuity of Service and Replacements

Kiddobee guarantees continuity of service. If the assigned provider is unavailable (illness, leave, or other absence), Kiddobee will propose a replacement. The client will be notified within 48 hours for planned absences and within 2 hours for same-day emergencies. Any replacement in prestataire mode is formalised by an addendum to the service assignment agreement.

The €149 annual subscription includes access to the replacement search service throughout the year. A replacement provider will be introduced to the client before their first session.

A named Kiddobee référent conducts a service review within the first two weeks, monthly for the first three months, then at minimum every three months thereafter.

5. Client Obligations

The client undertakes to:

  • Ensure their home meets applicable safety standards and hold a valid third-party liability insurance policy (responsabilité civile)
  • Provide the provider with clear instructions regarding tasks and the care needs of the children
  • Only request care for children named in the service assignment agreement
  • Inform the provider of any medical conditions, allergies or specific needs of the child
  • Manage pets during sessions so as not to interfere with the provider's work or safety
  • Any audio or video surveillance system installed at the home must be notified in writing to the provider before their first session, in accordance with applicable law
  • Ensure travel with children takes place on foot or by public transport, at the client's expense
  • Arrange the provider's safe return home if a session ends after 23h00, either by accompanying them or covering taxi costs (flat rate of €20) — except where the provider lives within 20 minutes' walk
  • Take full responsibility for the management and security of any home keys given to the provider
  • Respect the privacy and dignity of the provider and maintain confidentiality of information shared during sessions

6. Recording Hours Worked

Providers submit hours via Kiddobee's secure online system after each session. Invoices include a detailed breakdown of hours. The client has 7 days from invoice receipt to dispute hours. Undisputed hours are deemed accepted after this period. Hour records are archived for 5 years.

7. Pricing and Invoicing

All prices are inclusive. TVA non applicable – Article 293B du CGI.

Standard hourly rates (prestataire mode):

  • French-speaking provider: €26.00 / hour
  • English-speaking provider: €30.00 / hour
  • Other specific language: €35.00 / hour

Surcharges:

  • Night hours (from 20h00), Sundays and ordinary public holidays: €35.10 / hour (fixed rate)
  • 1 May and 25 December: 100% surcharge — double the applicable hourly rate
  • Payment by pre-financed CESU: +3% processing fee

Invoices are issued on the 2nd of each month and must be settled within 7 days. Accepted methods: bank transfer, cheque, pre-financed CESU, direct debit.

Any additional hours beyond those in the contract are invoiced at the rate in the personalised quote.

7.1 Instalment and deferred payment via Alma

Where available, Kiddobee may offer payment in instalments or deferred payment through Alma. Use of this option is subject to Alma's own contractual terms. Alma may charge fees per its own pricing. If Alma declines, the contract may lapse unless the client pays in full immediately. Termination of these Terms automatically terminates any Alma arrangement, and vice versa unless the full amount is settled by alternative means.

8. Mandataire Mode – Specific Terms

In mandataire mode, the client family is the employer. The client is solely responsible for all employer obligations under French labour law and the CCN des particuliers employeurs (IDCC 3239), including salary payments, URSSAF/Pajemploi declarations, and employment contract management.

Kiddobee's mandataire services are invoiced at €95 TTC per month plus a one-time setup fee of €900 TTC at the start of the mandate. TVA non applicable – Article 293B du CGI.

The end of the mandate agreement does not terminate the employment contract between the client and the provider. The client remains the provider's employer and is responsible for any termination process.

9. Budget Simulator

The budget simulator on Kiddobee's website is for information purposes only and does not constitute a quote. Estimates are calculated using publicly available CAF/CMG tables current at the date of simulation. Actual CAF entitlements depend entirely on the client's individual dossier, income, and the CAF's own assessment at the time of application. Kiddobee has no control over CAF decisions and accepts no liability for any difference between estimated and actual aid received, or for any changes to CAF/CMG rates or eligibility conditions after the date of the simulation.

10. Tax Benefits and Financial Assistance

Kiddobee's services may qualify for a 50% income tax credit (crédit d'impôt, Article 199 sexdecies CGI). Kiddobee will provide an annual tax certificate (attestation fiscale) per Article D.7233-4 of the Labour Code. Eligibility is the client's sole responsibility.

Clients with children under 6 may be eligible for CAF CMG assistance subject to income and activity conditions. Kiddobee can assist with understanding the process and providing required documents, but the CAF's decisions are entirely independent of Kiddobee.

11. Personal Data Protection

Kiddobee processes personal data in accordance with its Personal Data Protection Policy. Clients are informed that Kiddobee's matching algorithm ranks candidate profiles to support the advisor's decision; the final provider selection is always made by a human advisor.

Kiddobee and its providers are bound by strict confidentiality obligations regarding all information received during service delivery.

12. Non-Solicitation of Staff

The client may not employ, directly or indirectly, any Kiddobee provider during the contract or for 12 months following its termination for any reason. Breach triggers a lump-sum compensation of €2,500, without prejudice to additional damages if actual loss exceeds this amount.

13. Late Payment

Any late payment automatically triggers a flat-rate recovery fee of €40 and statutory late payment interest, without prior notice (Article D.441-5 Commercial Code). Kiddobee may suspend services after a formal notice (mise en demeure) unresolved for more than 7 days.

14. Liability

Kiddobee is responsible as employer of record for the administrative, contractual and social management of its providers in prestataire mode. Under the mise à disposition framework, the client family exercises by delegation day-to-day task instruction and schedule management. The client assumes responsibility for incidents arising directly from instructions given to the provider during a session.

In mandataire mode, the client is the employer and assumes full employer liability.

Kiddobee's liability cannot be engaged for indirect or consequential loss, or for loss arising from the client's failure to meet their obligations. Nothing in this clause limits Kiddobee's mandatory employer obligations under French labour law, or any mandatory consumer rights.

15. Mediation and Disputes

These Terms are governed by French law. In the event of an unresolved dispute, the parties will first seek amicable resolution within 30 days of written notification. Clients who are consumers may then refer the dispute free of charge to:
